Terms of Service
1. Acceptance of Terms
By accessing or using Dalil, you agree to be bound by these Terms of Service ("Terms"). If you are using Dalil on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.
If you do not agree to these Terms, do not access or use the platform.
2. Description of Service
Dalil is an AI-powered platform that enables pharmaceutical and biotechnology companies to conduct Virtual MSL Visits — AI-driven voice conversations with healthcare professionals (HCPs), powered by scientific content uploaded by the company. The platform includes:
- Document ingestion and AI processing (embedding, chunking, retrieval)
- Compliance guardrail configuration and enforcement
- Virtual MSL Visit invitations and real-time voice sessions
- Automated conversation transcription with citations
- AI-powered intelligence extraction, trend analysis, and reporting
- Administrative tools for user management, audit logging, and analytics
3. Account and Access
- Access to Dalil requires an approved access request and an invitation from a platform administrator
- You are responsible for maintaining the confidentiality of your account credentials
- You must provide accurate and complete information during registration
- You must notify us immediately of any unauthorized use of your account at ahmad@dalil.bio
- We reserve the right to suspend or terminate accounts at our discretion, including for violation of these Terms
4. Acceptable Use
You agree NOT to:
- Upload content that you do not have the right to use or distribute
- Upload content that contains personally identifiable patient information (PHI) unless a Business Associate Agreement (BAA) is in place
- Attempt to access another company's data or another user's account
- Reverse engineer, decompile, or attempt to extract the source code of the platform
- Use the platform to generate intentionally misleading or false medical information
- Use the platform for purposes other than legitimate medical affairs and scientific exchange activities
- Share Virtual MSL Visit invitation links with unauthorized individuals
- Attempt to bypass guardrails, compliance rules, or content restrictions configured on the platform
- Use automated tools (scraping, bots, crawlers) to access the platform without prior written permission
- Interfere with or disrupt the platform's operation or security
5. Company Responsibilities

- Content Accuracy: Companies are solely responsible for the accuracy, completeness, legality, and regulatory compliance of all content they upload to Dalil, including scientific documents, prescribing information, publications, compliance materials, and guardrail configurations. Dalil processes and retrieves this content as-is.
- Regulatory Compliance: Companies are solely responsible for ensuring that their use of Dalil complies with all applicable laws, regulations, and industry guidelines, including but not limited to FDA regulations, OIG guidelines, PhRMA Code, EFPIA Code, and any applicable promotional and medical affairs regulations in their operating jurisdictions.
- Guardrail Configuration: Companies are solely responsible for configuring appropriate guardrails, prohibited topics, required disclaimers, escalation triggers, and response boundaries. Dalil provides the tools to define and enforce guardrails but does not determine what the guardrails should be. Inadequate guardrail configuration is the company's responsibility.
- HCP Engagement: Companies are solely responsible for determining which HCPs to invite to Virtual MSL Visits, for what purpose, and with what frequency. Dalil facilitates the engagement but does not direct or control it.
- Adverse Event Reporting: Companies are solely responsible for their adverse event (AE) reporting obligations. While Dalil includes AE awareness features (prompts in the AI system, escalation triggers), the platform does not replace a company's pharmacovigilance obligations. Companies must maintain their own AE reporting systems and processes independent of Dalil.
- Content Review: Companies are responsible for reviewing and validating AI-generated responses, transcripts, and intelligence outputs. AI-generated content should not be treated as a substitute for human medical, legal, or regulatory review.
- Off-Label Use: Companies are responsible for ensuring that the content uploaded to Dalil does not promote off-label use of their products unless permitted by applicable regulations.
6. AI Disclaimer
Critical — Read Carefully
Dalil uses artificial intelligence, including large language models provided by third parties, to generate responses during Virtual MSL Visits, create conversation transcripts, extract intelligence insights, and generate reports.
- AI-generated content may be inaccurate, incomplete, outdated, or misleading. While Dalil is designed to respond only from uploaded approved content using a closed-loop retrieval-augmented generation (RAG) architecture, no AI system is perfect. Responses may contain errors, omissions, or misinterpretations of source material.
- Dalil does not provide medical advice. The platform is a scientific information resource, not a healthcare provider. AI-generated responses are not a substitute for professional medical judgment, clinical decision-making, or patient care.
- Dalil does not guarantee regulatory compliance of AI-generated responses. Companies are responsible for reviewing AI outputs for compliance with their specific regulatory requirements and internal policies.
- Dalil does not guarantee the completeness or accuracy of citation references. While the platform is designed to cite source documents for every factual claim, citations may occasionally be incomplete, incorrectly attributed, or reference the wrong page or section.
- Users should not rely solely on Dalil's AI outputs for clinical, regulatory, legal, or business decisions. All AI-generated content should be reviewed by qualified professionals.
7. Intellectual Property
- Dalil's platform, including its software, design, user interface, algorithms, and documentation, is owned by Dalil and protected by applicable intellectual property laws
- Companies retain ownership of all content they upload to the platform, including scientific documents, compliance materials, and guardrail configurations
- Companies grant Dalil a limited, non-exclusive, revocable license to process, store, index, embed, and retrieve uploaded content solely for the purpose of providing the platform's services (including AI processing, RAG retrieval, and intelligence extraction)
- Dalil does not claim ownership of company-uploaded content, conversation data, or HCP interaction records
- Intelligence insights generated from conversations (topic trends, content gaps, competitor analysis) belong to the company that owns the underlying conversation data
8. Data and Privacy
Your use of Dalil is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information.
- Data isolation between companies is maintained as described in the Privacy Policy
- Companies may request export or deletion of their data at any time by contacting ahmad@dalil.bio
9. Service Availability and Modifications
- Dalil is provided on an "as available" basis. We do not guarantee uninterrupted or error-free service.
- Dalil is in active development. Features, interfaces, APIs, and functionality may change, be added, or be removed at any time as we improve the platform.
- We reserve the right to modify, suspend, or discontinue any part of the service at any time
- We will make reasonable efforts to notify users of material changes to the platform via email or in-app notification
10. Beta / Early Access Acknowledgment
Critical — Read Carefully
Dalil is currently in an early access / beta phase. The platform is under active development and may contain bugs, errors, or incomplete features.
By using Dalil during the early access period, you acknowledge and accept that:
- The platform may not function as expected at all times
- Features may be added, changed, or removed without advance notice
- Data processing and AI outputs may have higher error rates than a mature, generally available product
- Service interruptions may occur for maintenance, updates, or unforeseen issues
- We are actively iterating on the platform based on user feedback and our own development roadmap
Early access users are encouraged to report issues, bugs, and feedback to ahmad@dalil.bio.
This early access acknowledgment does not limit any other disclaimers or limitations of liability in these Terms.
11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DALIL AND ITS OPERATORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Regulatory penalties or fines arising from use of the platform
- Damages arising from AI-generated content, including inaccurate responses, incorrect citations, or missed adverse event signals
- Damages arising from unauthorized access to data, despite our security measures
- Damages arising from service interruptions, bugs, or errors
- Damages arising from third-party service failures (AI model providers, hosting providers, email delivery services)
DALIL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY THE COMPANY TO DALIL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. DALIL DOES NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, UP-TO-DATE, OR COMPLIANT WITH ANY REGULATORY REQUIREMENTS.
12. Indemnification

Companies agree to indemnify, defend, and hold harmless Dalil and its operators, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- The company's use of the platform
- Content uploaded by the company, including its accuracy, legality, and regulatory compliance
- The company's violation of these Terms
- The company's violation of applicable laws, regulations, or industry codes
- Claims by HCPs, patients, or third parties related to the company's use of Dalil
- Regulatory actions, investigations, or penalties related to the company's use of AI-generated content in medical affairs
- Failure to maintain adequate adverse event reporting processes
13. Termination
- Either party may terminate the relationship at any time by providing written notice
- We may suspend or terminate access immediately if we reasonably believe that these Terms are being violated or that platform security is at risk
- Upon termination: the company's access is revoked, but data is retained for 30 days to allow the company to request an export. After 30 days, data will be permanently deleted upon request.
- The following sections survive termination: Intellectual Property, AI Disclaimer, Company Responsibilities, Limitation of Liability, Indemnification, and Governing Law
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dalil regarding the use of the platform. These Terms supersede any prior or contemporaneous agreements, communications, or understandings, whether oral or written.
